Acceptance of these Terms

These Terms of Service, referred to as the “Terms,” govern your access to and use of the Kosvio website located at www.kosvio.com, including its webpages, content, forms, waitlists, newsletters, early-access programs, and any related website features that link to these Terms.

The Website is operated by SJ Development Inc., a Canadian corporation that develops and manages the Kosvio brand.

In these Terms:

  • “Kosvio,” “SJ Development Inc.,” “we,” “us,” and “our” refer to SJ Development Inc. and the Kosvio brand;
  • “Website” refers to www.kosvio.com and any related webpages or website features governed by these Terms;
  • “Services” refers to the Website and the informational, communication, waitlist, and early-access services currently available through it; and
  • “you” and “your” refer to the individual or organization accessing or using the Website.

By accessing or using the Website, submitting information through a Website form, joining a waitlist, or participating in an early-access program that refers to these Terms, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you do not agree with these Terms, you must not access or use the Website.

Where applicable law requires a more explicit form of acceptance, we may ask you to select a checkbox, select an acceptance button, or otherwise confirm your agreement electronically.

About Kosvio

Kosvio is a financial technology brand developed and managed by SJ Development Inc.

Kosvio’s long-term vision is to modernize financial operations by helping businesses capture, organize, understand, and manage financial records and related business information more efficiently.

The current Website primarily provides:

  • Information about Kosvio;
  • Product and company announcements;
  • Educational and promotional content;
  • Waitlist and early-access registration;
  • Newsletter and product-update subscriptions;
  • Contact and inquiry forms;
  • Opportunities to provide feedback; and
  • Information about planned or developing Kosvio products.

Unless expressly stated otherwise, the Website does not currently provide an authenticated financial-management service, accounting platform, tax-filing service, payment service, banking service, or professional advisory service.

Eligibility

You may use the Website only if:

  • You have reached the age of majority in your province, territory, state, or country of residence;
  • You have the legal capacity to enter into a binding agreement;
  • Your use of the Website is lawful;
  • You are not prohibited from using the Website under applicable law; and
  • You agree to comply with these Terms.

The Website is intended primarily for business owners, professionals, employees, contractors, organizations, accountants, bookkeepers, and individuals interested in Kosvio’s products and services.

The Website is not directed to children.

If you are under the age of majority where you live, you may use the Website only under the supervision of a parent or legal guardian who accepts responsibility for your use.

Use on behalf of an organization

If you access or use the Website on behalf of a company, partnership, organization, employer, client, or other legal entity, you represent and warrant that:

  • You have authority to act on behalf of that entity;
  • You have authority to accept these Terms on its behalf; and
  • The entity agrees to be bound by these Terms.

In that case, references to “you” include both you individually and the organization you represent.

If you do not have the required authority, you must not accept these Terms or submit information on the organization’s behalf.

The information provided through the Website is made available for general informational, educational, and promotional purposes.

Although we aim to provide useful and accurate information, Website content may:

  • Be incomplete;
  • Become outdated;
  • Contain errors;
  • Describe planned rather than released functionality;
  • Change as Kosvio develops;
  • Vary from a final product or service; or
  • Not apply to your specific circumstances.

Nothing on the Website constitutes a binding commitment that Kosvio will release a particular product, feature, integration, price, plan, launch date, or service.

Product illustrations, screenshots, demonstrations, mockups, descriptions, roadmaps, timelines, and examples may represent concepts, prototypes, or planned capabilities.

A feature is not considered available unless Kosvio expressly identifies it as currently released and available to eligible users.

You should not make a financial, legal, operational, purchasing, investment, or tax decision solely on the basis of general Website content.

No financial, accounting, tax, or legal advice

Kosvio and SJ Development Inc. are technology providers.

Unless we expressly state otherwise in a separate written agreement, we are not acting as your:

  • Accountant;
  • Bookkeeper;
  • Tax preparer;
  • Tax advisor;
  • Lawyer;
  • Financial advisor;
  • Auditor;
  • Insurance advisor;
  • Fiduciary;
  • Bank;
  • Payment processor; or
  • Government representative.

Nothing on the Website constitutes financial, accounting, tax, legal, investment, insurance, or other professional advice.

General information regarding expenses, receipts, recordkeeping, tax preparation, financial organization, compliance, or business operations may not be complete or appropriate for your circumstances.

Tax laws, accounting requirements, record-retention obligations, eligible deductions, reporting standards, and business regulations may differ depending on:

  • Your location;
  • Business structure;
  • Industry;
  • Transaction type;
  • Tax status;
  • Reporting period; and
  • Individual circumstances.

You remain responsible for obtaining advice from qualified professionals and for verifying the accuracy, completeness, and suitability of information before relying on it.

Use of the Website does not create a professional-client, accountant-client, lawyer-client, fiduciary, advisory, or agency relationship between you and Kosvio or SJ Development Inc.

No government affiliation

Kosvio and SJ Development Inc. are private businesses.

Unless expressly stated otherwise, neither Kosvio nor SJ Development Inc. is:

  • A government department;
  • A tax authority;
  • An agency of the Canada Revenue Agency;
  • An agent of a provincial or territorial tax authority;
  • A regulator;
  • A financial institution; or
  • An officially endorsed government service.

References to government requirements, tax concepts, recordkeeping practices, or regulatory topics are provided only for general informational purposes.

You should consult the relevant government authority or a qualified professional for official and current requirements.

Waitlists and launch notifications

You may have the opportunity to join a waitlist or request notification about a future Kosvio launch.

Joining a waitlist:

  • Does not create a customer account;
  • Does not guarantee access to a product;
  • Does not reserve a specific position unless expressly stated;
  • Does not guarantee a launch date;
  • Does not guarantee eligibility for early access;
  • Does not guarantee a particular price or discount;
  • Does not require you to purchase anything; and
  • Does not require Kosvio to release the proposed product.

We may manage waitlist invitations based on factors such as:

  • Product readiness;
  • Geographic availability;
  • Business type;
  • Technical requirements;
  • Testing capacity;
  • Compliance requirements;
  • Feedback needs; and
  • Operational considerations.

We may pause, modify, close, or discontinue a waitlist at any time.

You may ask to be removed from a waitlist by contacting us or using an available unsubscribe or preference-management mechanism.

Early-access, preview, and beta programs

Kosvio may invite certain users to participate in an early-access, preview, prototype, pilot, testing, or beta program.

Participation may be governed by additional terms. If additional terms conflict with these Terms, the additional terms will govern the relevant program.

Early-access and beta features may:

  • Be incomplete;
  • Contain defects or errors;
  • Operate inconsistently;
  • Experience interruptions;
  • Produce inaccurate results;
  • Change without notice;
  • Be subject to additional usage restrictions;
  • Have limited support;
  • Be removed before general release; or
  • Never become commercially available.

You must not rely on a beta or preview feature for a critical financial, accounting, tax, legal, compliance, reporting, or business process unless we expressly authorize such reliance in writing.

We may suspend or terminate participation in an early-access program at any time.

Where participation involves confidential or unreleased information, we may require you to enter into a separate confidentiality or testing agreement.

Communications

When you provide contact information, we may communicate with you regarding:

  • Your inquiry;
  • Your waitlist registration;
  • Early-access opportunities;
  • Product availability;
  • Requested information;
  • Administrative matters;
  • Security matters;
  • Changes affecting a service you requested;
  • Feedback or research opportunities; and
  • Marketing communications where permitted by law.

Marketing emails will include an unsubscribe mechanism where required.

You are responsible for ensuring that the contact information you provide is accurate and that you are authorized to use it.

You may withdraw consent to optional marketing communications at any time. Withdrawal from marketing messages does not prevent us from sending non-commercial communications necessary to respond to your request, administer a program, address security concerns, or comply with legal obligations.

Our collection and use of personal information is governed by our Privacy Policy.

Privacy

Your use of the Website is also subject to the Kosvio Privacy Policy.

The Privacy Policy explains, among other things:

  • What personal information we collect;
  • Why we collect it;
  • How we use and disclose it;
  • How long we retain it;
  • How we protect it; and
  • The privacy rights and choices available to you.

The Privacy Policy is incorporated into these Terms by reference.

If there is a conflict between these Terms and the Privacy Policy concerning our handling of personal information, the Privacy Policy will govern that issue, subject to applicable law.

Permitted use

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable permission to access and use the Website for lawful personal or internal business purposes.

This permission does not transfer ownership of the Website or any Website content to you.

You may:

  • View publicly available pages;
  • Review information about Kosvio;
  • Submit legitimate inquiries;
  • Join a waitlist;
  • Subscribe to permitted communications;
  • Provide genuine feedback; and
  • Share links to publicly available Website pages in a lawful manner.

All rights not expressly granted are reserved by SJ Development Inc. and its licensors.

Prohibited conduct

You must not use the Website in a manner that is unlawful, fraudulent, abusive, harmful, misleading, or inconsistent with these Terms.

Without limiting the foregoing, you must not:

  • Violate any applicable law or regulation;
  • Use the Website to commit or facilitate fraud;
  • Impersonate another person or organization;
  • Misrepresent your identity, authority, affiliation, or intentions;
  • Submit false, deceptive, or materially inaccurate information;
  • Collect personal information about others without lawful authority;
  • Submit confidential information you are not authorized to disclose;
  • Interfere with the Website’s operation or security;
  • Attempt to gain unauthorized access to a system, account, network, database, or server;
  • Bypass, disable, or defeat access restrictions or security controls;
  • Introduce malware, ransomware, viruses, malicious scripts, or harmful code;
  • Conduct vulnerability scans or penetration testing without written authorization;
  • Use automated systems to access or extract content in a manner that creates excessive load or circumvents restrictions;
  • Scrape, crawl, harvest, index, copy, or reproduce substantial portions of the Website without authorization;
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from Website software except where the restriction is prohibited by law;
  • Remove copyright, trademark, attribution, or proprietary notices;
  • Use Website content to build or train a competing product, dataset, or artificial-intelligence system without written permission;
  • Use the Website to send spam or unsolicited communications;
  • Upload unlawful, defamatory, infringing, discriminatory, threatening, obscene, or harmful content;
  • Violate another person’s intellectual-property, privacy, publicity, contractual, or other rights;
  • Falsely suggest that you are affiliated with, sponsored by, endorsed by, or acting for Kosvio or SJ Development Inc.;
  • Resell, sublicense, commercially exploit, or provide unauthorized access to the Website; or
  • Help another person engage in prohibited conduct.

We may investigate suspected misuse and cooperate with lawful investigations or regulatory authorities where appropriate.

Information and submissions you provide

You are responsible for information, messages, documents, feedback, and other materials you submit through the Website.

You represent and warrant that:

  • The information you provide is accurate to the best of your knowledge;
  • You have the right and authority to provide it;
  • Providing it does not violate another person’s rights;
  • It does not contain unlawful or malicious material;
  • It does not breach a duty of confidentiality; and
  • It complies with these Terms.

Do not submit sensitive financial, tax, identity, health, payment, banking, or government-identification information through a general Website form unless we expressly request it through an appropriately secured process.

We may remove, reject, or disregard a submission that we reasonably believe violates these Terms or creates a legal, security, privacy, or operational risk.

Feedback

We welcome feedback, suggestions, ideas, feature requests, comments, and recommendations about Kosvio.

If you voluntarily provide feedback, you grant SJ Development Inc. a worldwide, perpetual, irrevocable, royalty-free, fully paid, transferable, sublicensable, and non-exclusive right to:

  • Use;
  • Reproduce;
  • Modify;
  • Adapt;
  • Publish;
  • Translate;
  • Create derivative works from;
  • Commercialize;
  • Distribute; and
  • Incorporate

that feedback into Kosvio products, services, documentation, marketing, operations, or other business activities without restriction or compensation to you.

This licence applies only to the feedback itself and does not transfer ownership of your personal information or confidential business records.

Do not provide feedback that contains confidential information belonging to you or another person unless you are authorized to permit its use under this section.

Providing feedback does not make you an inventor, employee, contractor, partner, or co-owner of Kosvio or SJ Development Inc.

Intellectual property

The Website and its contents are owned by or licensed to SJ Development Inc. and are protected by applicable intellectual-property laws.

Protected materials may include:

  • The Kosvio name;
  • Logos;
  • Brand elements;
  • Website design;
  • User-interface components;
  • Illustrations;
  • Icons;
  • Graphics;
  • Photography;
  • Videos;
  • Animations;
  • Copy and written content;
  • Product descriptions;
  • Wireframes;
  • Demonstrations;
  • Software;
  • Source code;
  • Object code;
  • Documentation;
  • Databases;
  • Research;
  • Reports;
  • Downloadable materials; and
  • The arrangement and presentation of Website content.

Except as expressly permitted by these Terms or applicable law, you may not copy, reproduce, modify, distribute, publish, display, transmit, license, sell, create derivative works from, or commercially exploit Website content without prior written permission from SJ Development Inc. or the relevant rights holder.

A limited quotation or link to a public Website page may be permitted where it is lawful, accurate, properly attributed, and does not suggest an unauthorized endorsement or affiliation.

Trademarks

“Kosvio,” the Kosvio logo, related product names, slogans, design elements, and other brand identifiers may be trademarks, trade names, or other protected identifiers of SJ Development Inc.

Nothing in these Terms grants you a licence to use any Kosvio or SJ Development Inc. trademark.

You must not:

  • Register or attempt to register a confusingly similar trademark;
  • Use a confusingly similar business, product, application, social-media, or domain name;
  • Use Kosvio branding in advertising without permission;
  • Modify or distort a Kosvio logo;
  • Suggest an unauthorized relationship with Kosvio; or
  • Use Kosvio branding in a manner that harms the brand or misleads the public.

Copyright concerns

We respect intellectual-property rights.

If you believe that content available through the Website infringes your copyright, please send a written notice to:

Submitting a knowingly false or misleading infringement complaint may create legal consequences.

Third-party services are not controlled by SJ Development Inc.

We do not necessarily endorse and are not responsible for:

  • Third-party content;
  • Availability;

  • Security;
  • Privacy practices;
  • Pricing;
  • Products;
  • Services;
  • Terms;
  • Representations; or
  • Conduct.

Your use of a third-party service is governed by that third party’s own terms and policies.

You should review those terms and policies before providing information, creating an account, or completing a transaction.

A link from the Website does not create a partnership, sponsorship, endorsement, agency relationship, or joint venture unless expressly stated.

The Website may refer to third-party products, platforms, regulators, government programs, accounting systems, integrations, businesses, or trademarks for identification, comparison, compatibility, informational, or educational purposes.

Unless expressly stated otherwise:

  • Those references do not indicate endorsement;
  • Kosvio is not affiliated with the referenced organization;
  • The referenced organization does not sponsor Kosvio;
  • Compatibility may be planned rather than currently available; and
  • Third-party names remain the property of their respective owners.

We may modify or remove third-party references at any time.

We aim to keep the Website available and functional, but we do not guarantee uninterrupted or error-free access.

The Website may be unavailable because of:

  • Hosting outages;

  • Third-party service interruptions;
  • Legal requirements;
  • Events outside our reasonable control; or
  • Changes to our business or products.

We may modify, suspend, restrict, or discontinue all or part of the Website at any time.

We are not required to maintain a particular page, feature, form, waitlist, newsletter, or piece of content permanently.

Before commercial launch, we may change:

  • Pricing;
  • Usage limits;

  • Supported platforms;
  • System requirements;
  • Storage limits;
  • Artificial-intelligence capabilities;
  • Integrations;
  • Geographic availability; and
  • Launch timing.

A Website statement does not create a guarantee that a planned capability will be released.

Any paid Kosvio product will be governed by the terms, order form, subscription conditions, pricing, cancellation rules, and service descriptions presented when that product is offered.

To the maximum extent permitted by applicable law, the Website and its content are provided on an “as is” and “as available” basis.

SJ Development Inc. does not make any express, implied, statutory, or collateral warranty regarding the Website, including any warranty of:

  • Accuracy;
  • Completeness;
  • Currency;
  • Reliability;
  • Availability;
  • Merchantability;
  • Fitness for a particular purpose;
  • Title;
  • Non-infringement;
  • Security;
  • Compatibility;
  • Error-free operation; or
  • Suitability for a particular business, legal, accounting, financial, or tax purpose.

We do not warrant that:

  • The Website will always be available;
  • Errors will be corrected immediately;
  • The Website will be free from harmful components;
  • Website information will meet your requirements;
  • A proposed Kosvio product will launch;
  • A feature will operate as described in preliminary materials; or
  • Use of the Website will produce a particular business or financial result.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the extent permitted by law.

Nothing in these Terms excludes a condition, warranty, right, or remedy that cannot legally be excluded.

Limitation of liability

To the maximum extent permitted by applicable law, SJ Development Inc. and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or related to the Website.

This includes, without limitation, damages associated with:

  • Lost profits;
  • Lost revenue;
  • Lost business opportunities;
  • Business interruption;
  • Loss of anticipated savings;
  • Loss of goodwill;
  • Loss of data;
  • Inability to access the Website;
  • Reliance on Website content;
  • Decisions made using Website information;
  • Third-party services; or
  • Unauthorized access or security events.

To the maximum extent permitted by applicable law, the total aggregate liability of SJ Development Inc. arising from or related to the Website or these Terms will not exceed the greater of:

  • The amount you paid directly to SJ Development Inc. specifically for use of the Website during the 12 months preceding the event giving rise to the claim; and
  • CAD $100.

Because the current public Website is generally available without charge, the CAD $100 amount may apply to many Website-related claims.

These limitations apply regardless of the form of claim, including contract, tort, negligence, statute, strict liability, or another legal theory, and even if we were advised that damages were possible.

The limitations do not apply to liability that cannot be limited or excluded under applicable law.

Depending on the jurisdiction, this may include certain liability arising from:

  • Fraud;
  • Fraudulent misrepresentation;
  • Wilful misconduct;
  • Gross negligence;
  • Death or personal injury;
  • Breach of mandatory consumer rights; or
  • Another matter that applicable law does not permit a party to exclude.

Your responsibility for decisions

You are responsible for:

  • Evaluating Website information;
  • Determining whether information is appropriate for your circumstances;
  • Maintaining appropriate business records;
  • Meeting tax and regulatory deadlines;
  • Confirming financial information;
  • Consulting qualified professionals;
  • Maintaining backups;
  • Securing your devices and accounts; and
  • Making independent business decisions.

Kosvio is not responsible for a penalty, reassessment, rejected deduction, lost document, missed deadline, incorrect filing, audit result, accounting error, or other consequence arising from reliance on general Website information.

Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless SJ Development Inc. and its directors, officers, employees, contractors, affiliates, licensors, and service providers from third-party claims, liabilities, damages, judgments, losses, and reasonable legal costs arising from:

  • Your unlawful use of the Website;
  • Your material breach of these Terms;
  • Content or information you submit;
  • Your infringement of another person’s rights;
  • Your misuse of Kosvio branding or intellectual property;
  • Your unauthorized access to the Website; or
  • Your fraudulent, malicious, or intentionally harmful conduct.

This section does not require a consumer to indemnify us where such an obligation is prohibited or unenforceable under applicable consumer-protection law.

We reserve the right to control the defence and settlement of an indemnified claim. You agree to provide reasonable cooperation.

We will not settle a claim in a manner that imposes a non-monetary obligation on you without your consent, unless permitted by law.

Suspension and termination

We may restrict, suspend, or terminate your access to all or part of the Website where we reasonably believe that:

  • You violated these Terms;
  • Your conduct creates a security or legal risk;
  • Your use interferes with the Website;
  • Your submission is fraudulent or abusive;
  • Suspension is necessary to protect another person;
  • Suspension is required by law; or
  • The relevant Website feature or service is being discontinued.

Where practical and appropriate, we may provide notice or an opportunity to correct a violation. We are not required to provide advance notice in urgent, fraudulent, unlawful, or security-related circumstances.

You may stop using the Website at any time.

Termination does not affect provisions that by their nature should continue, including provisions concerning intellectual property, feedback, disclaimers, liability, indemnification, disputes, and general contractual terms.

Consumer rights

Nothing in these Terms is intended to exclude, restrict, or waive a right or remedy that cannot legally be excluded, restricted, or waived.

If you use the Website as a consumer, you may have statutory rights under federal, provincial, territorial, state, or national consumer-protection laws.

Those rights may include rights relating to:

  • Fair and accurate representations;
  • Clear disclosure;
  • Internet agreements;
  • Cancellation;
  • Refunds;
  • Warranties;
  • Unfair practices;
  • Dispute resolution; and
  • Access to courts.

If a provision of these Terms conflicts with a mandatory consumer-protection law, the mandatory law will apply to the extent of the conflict.

No provision requiring a particular forum, limiting liability, restricting remedies, or allocating risk applies where it is prohibited by applicable law.

Informal dispute resolution

Before beginning formal legal proceedings, you and SJ Development Inc. agree to make reasonable good-faith efforts to resolve the dispute informally, unless urgent relief is required or applicable law permits you to proceed directly.

A dispute notice should include:

  • Your name;
  • Your contact information;
  • A description of the dispute;
  • Relevant dates;
  • Supporting information; and
  • The resolution you are requesting.

We will attempt to review and respond within a reasonable period.

This informal process does not reduce or extend a limitation period unless the parties agree in writing or applicable law provides otherwise.

No mandatory consumer arbitration

These Terms do not require a consumer to submit a dispute to binding arbitration where such a requirement is prohibited by applicable law.

After a dispute arises, you and SJ Development Inc. may voluntarily agree in writing to use mediation, arbitration, or another dispute-resolution process.

Nothing in these Terms prevents a consumer from exercising a right to bring or participate in a class proceeding where that right cannot lawfully be waived.

Governing law

Subject to mandatory laws that apply based on your location or status, these Terms and disputes arising from them are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.

If you are a consumer, this governing-law provision does not deprive you of mandatory protections available under the laws of your province, territory, state, or country of residence.

Courts and jurisdiction

Subject to applicable consumer-protection law, you and SJ Development Inc. agree that disputes relating to the Website or these Terms will be brought before the courts located in Toronto, Ontario, Canada.

You and SJ Development Inc. submit to the jurisdiction of those courts.

This section does not:

  • Prevent either party from seeking urgent injunctive relief in another court with appropriate jurisdiction;
  • Prevent SJ Development Inc. from acting against unlawful access, fraud, or intellectual-property infringement in an appropriate jurisdiction;
  • Restrict a consumer’s right to use the courts of their home jurisdiction where that right cannot be waived; or
  • Override the rights of a Quebec consumer under applicable Quebec law.

Quebec users

If you are a consumer residing in Quebec:

  • Nothing in these Terms limits a mandatory right available under Quebec law;
  • You may have the right to bring a consumer claim before a court in Quebec;
  • A provision requiring arbitration or restricting participation in a class proceeding will not apply where prohibited;
  • Consumer warranties and remedies provided by Quebec law continue to apply; and
  • The French-language requirements applicable to consumer and adhesion contracts will be respected.

Electronic communications and agreements

You agree that communications, disclosures, notices, and agreements may be provided electronically, subject to applicable law.

  • Data-processing terms;
  • Beta agreements;
  • Confidentiality obligations;
  • Promotion rules;
  • Partner agreements; and
  • Mobile application terms.

If additional terms conflict with these Terms, the additional terms will govern the specific service to which they apply.

Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior written consent.

SJ Development Inc. may assign or transfer these Terms as part of:

  • A corporate reorganization;
  • A merger;
  • An acquisition;
  • A financing;
  • A sale of assets;
  • A transfer of the Kosvio business; or
  • A transaction involving an affiliate or successor.

Any assignment remains subject to applicable law and does not reduce mandatory consumer or privacy rights.

Force majeure

SJ Development Inc. will not be responsible for delay or failure caused by circumstances beyond its reasonable control.

These circumstances may include:

  • Natural disasters;
  • Severe weather;
  • Fire;
  • Flood;
  • War;
  • Terrorism;
  • Civil unrest;
  • Labour disruption;
  • Public-health emergencies;
  • Government actions;
  • Utility failures;
  • Internet or telecommunications outages;
  • Cloud-provider failures;
  • Cyberattacks;
  • Supply-chain interruptions; or
  • Other events that could not reasonably have been prevented.

This section does not excuse an obligation that applicable law does not permit us to exclude.

Severability

If a court or other competent authority determines that a provision of these Terms is unlawful, invalid, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable, where legally permitted.

If it cannot be modified, it will be severed.

The remaining provisions will continue in effect unless the removal of the provision would materially defeat the purpose of the agreement.

No waiver

A failure or delay by SJ Development Inc. in exercising a right or remedy does not waive that right or remedy.

A waiver is effective only if it is made in writing by an authorized representative of SJ Development Inc.

A waiver concerning one matter does not constitute a waiver concerning another matter.

Relationship of the parties

These Terms do not create a:

  • Partnership;
  • Joint venture;
  • Employment relationship;
  • Franchise;
  • Agency relationship;
  • Fiduciary relationship; or
  • Professional-client relationship

between you and SJ Development Inc.

Neither party may bind the other except as expressly agreed in writing.

Section headings are included for convenience and readability.

They do not limit or otherwise affect the interpretation of these Terms.

Entire agreement

These Terms, together with the Privacy Policy and any applicable additional terms, constitute the entire agreement between you and SJ Development Inc. concerning the current Website.

They replace prior or contemporaneous communications concerning Website use, whether oral or written.

This section does not exclude liability for fraud or fraudulent misrepresentation and does not override a representation or disclosure that applicable law requires to form part of an agreement.
